Lantronix is spending $11.5 million to climb the IoT value stack, adding a software layer on top of the edge hardware it already sells.

Lantronix (NASDAQ: LTRX) provides edge hardware and connectivity products for industrial IoT applications. On July 7, the company announced an agreement to acquire the Industrial IoT business assets of Vecima Networks, including the Nero Global Tracking software-as-a-service platform, for approximately $11.5 million excluding working capital and other adjustments. Nero delivers GPS-based fleet and asset tracking to business and municipal customers across Canada and the United States.

The strategic logic is recurring revenue: the acquired business is expected to contribute roughly $5.3 million in total revenue, including about $4.5 million of annual recurring revenue, along with management of approximately 125,000 asset tags. Lantronix says the deal adds a proven SaaS application layer to its portfolio, expands its critical-infrastructure monitoring vertical and accelerates its shift toward higher-margin, recurring-revenue IoT solutions. The transaction remains subject to customary closing conditions, and there is no guarantee the integration delivers the margin and recurring-revenue gains management expects.
