Balance-sheet flexibility was the theme for Peraso Inc. (NASDAQ: PRSO) heading into the holiday weekend. On July 2, the mmWave wireless semiconductor company announced a committed equity facility of up to $25 million with Roth Principal Investments, LLC, an affiliate of the holding company for Roth Capital Partners.

The agreement, signed June 30, lets Peraso — at its discretion and subject to conditions — sell newly issued common shares to the Roth affiliate over a period of up to 36 months once a resale registration statement is effective. Purchases are priced off the stock's volume-weighted average price at discounts of 3% to 6% depending on the trading window, initial issuances are capped under Nasdaq rules at 19.99% of shares outstanding absent shareholder approval or certain pricing conditions, and the investor's beneficial ownership cannot exceed 4.99%. Peraso intends to use any proceeds for working capital and general corporate purposes, including continued product development and expansion in the drone, defense and tactical communications markets.
